Terms and Conditions

1. DEFINITIONS

In these Terms and Conditions:

  • “The Company” means Automate Business Solutions.

  • “The Client” means any person, firm, or company purchasing Goods or Services from the Company.

  • “The Contract” means any contract for the supply of Goods or Services between the Company and the Client to which these Terms and Conditions apply.

  • “The Invoice” means any invoice issued by the Company to the Client in connection with the Contract.

  • “Goods” means any hardware, software, or other products supplied by the Company.

  • “Services” means any professional services supplied by the Company, including but not limited to consultancy, software development, training, and support.

  • “Commercial Software” means software developed by third-party manufacturers for commercial use.

  • “Bespoke Software” means software developed by the Company specifically for the Client’s requirements.


2. APPLICATION

These Terms and Conditions apply to all Contracts for the supply of Goods or Services by the Company unless otherwise agreed in writing.
No other terms shall apply unless expressly accepted by both parties in writing.


3. BASIS OF SALE

The Company agrees to sell, and the Client agrees to purchase, Goods or Services in accordance with a quotation or order confirmed in writing by the Company.

Any representations by the Company’s employees or agents shall not be binding unless confirmed in writing.
The Client is responsible for ensuring the accuracy of all order details and specifications.

Once accepted, an order may not be cancelled by the Client without written consent from the Company.
If the Client delays or suspends work, the Company reserves the right to:

  • Request immediate payment for work completed and materials ordered.

  • Extend delivery deadlines proportionally.

  • Charge for lost working time or project rescheduling.

All quoted delivery dates are approximate and not guaranteed. The Company is not liable for delay caused by circumstances beyond its control.


4. TRAINING

The Company reserves the right to cancel or reschedule any training course in the event of unforeseen circumstances, including staff illness, insufficient delegate numbers, or force majeure.
In such cases, the Client may choose an alternative date or request a refund.
The Company shall not be liable for any indirect or consequential loss arising from a cancellation.


5. PAYMENT – GENERAL

  • The Client agrees to pay all invoices in full by the due date stated on the invoice.

  • Hardware purchases must be paid in full before delivery.

  • Additional charges may apply for changes or additions to a Statement of Works.

  • If payment is not received by the due date, the Company may:

    • Suspend delivery of Goods or Services.

    • Charge interest at 6% above HSBC base rate until full payment is made.

    • Recover reasonable costs incurred in debt collection.


6. PAYMENT – TRAINING

  • All training invoices must be paid in advance unless covered by a prepaid training credit.

  • Training credits are valid for two (2) years from purchase.

  • If the Client cancels a training booking:

    • More than 5 working days before the start date: 50% of the course fee is payable.

    • Within 5 working days: 100% of the course fee is payable.


7. WARRANTIES AND LIABILITY

  • The Company supplies Commercial Software and hardware subject to the manufacturer’s warranty.

  • The Company makes no separate warranty beyond that provided by the manufacturer.

  • Except for personal injury or death caused by negligence, the Company is not liable for any indirect, incidental, or consequential loss or damage arising from the use of Goods or Services.

  • The Company shall not be liable for any failure to perform due to causes beyond its reasonable control.


8. PRICE

  • All prices quoted exclude VAT and delivery charges.

  • The Company reserves the right to adjust prices before delivery in response to increased supplier costs or currency fluctuations.

  • Discounts and promotional offers cannot be combined unless expressly stated.


9. PROPERTY, TITLE AND RISK

Ownership of Goods remains with the Company until full payment is received.
Risk passes to the Client upon delivery.

The Client must comply with all software licensing terms from the Company or any third-party supplier.


10. COPYRIGHT – GENERAL/SERVICES

All copyright and intellectual property rights in Bespoke Software, code, documentation, and related materials created by the Company remain the property of the Company unless otherwise agreed in writing.


11. COPYRIGHT – TRAINING

All training materials, manuals, exercises, and digital resources remain the intellectual property of the Company and may not be reproduced or distributed without prior written permission.


12. DATA PROTECTION & PRIVACY

The Company is committed to protecting personal data and complying with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Our data collection, processing, and storage practices are explained in our Privacy Policy.
This includes details about:

  • The personal data we collect and how we use it.

  • The lawful bases for processing.

  • Your data protection rights.

  • Security and retention procedures.

13. FORCE MAJEURE

The Company shall not be liable for failure or delay in performing obligations due to events beyond its reasonable control, including (but not limited to) fire, flood, strike, lockout, pandemic, act of God, or failure of suppliers.

In such circumstances, the Company may suspend or terminate the Contract without liability.


14. GOVERNING LAW

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
